PageSherpa Terms of Use

These Terms of Use (“Terms”) apply exclusively to users of PageSherpa, a self-service personalization experience builder provided by LeadTip, Inc. (“Hushly”, “we”, “our”). By registering for or using PageSherpa, you agree to be bound by these Terms, as well as our Privacy Policy.

1. Access and Use

PageSherpa is offered as a self-service platform. You are granted a limited, non-exclusive, non-transferable license to access and use the platform for your internal business purposes only.

You may not resell, sublicense, or use PageSherpa to create services for others without express written consent.

PageSherpa is available in a Free version with a credit limit, and a Paid version. Both versions provide the same functionality and support. The Free version allows for a certain number of credits, after which an upgrade to a Paid version is required for continued usage.

2. Content and Ownership

You retain ownership of all content you upload or create using PageSherpa. By using the platform, you grant Hushly a license to host, process, and display your content solely to operate the service.

You are responsible for ensuring your content complies with applicable laws and does not infringe third-party rights.

3. Acceptable Use and Fair Limits

To maintain platform integrity for all users, Hushly may apply reasonable limits on:

Number of published pages

Monthly traffic/bandwidth

Storage capacity

You agree not to:

Use the platform to distribute spam or malicious content

Attempt to reverse-engineer or interfere with the platform

Violate applicable laws or third-party rights

Hushly reserves the right to throttle or suspend access for violations or abusive use.

4. Data Handling

You are solely responsible for any data you input or manage through PageSherpa. You agree not to input personal data unless you have the legal right to do so and understand your obligations as a data controller under applicable law.

Hushly does not act as a data processor and does not sign customer-specific Data Processing Agreements (DPAs).

5. Support

PageSherpa is offered as-is, with best-effort support for both Free and Paid versions. No uptime guarantees, SLAs, or dedicated assistance are included unless otherwise agreed in writing.

6. Credits and Upgrades

The Free version of PageSherpa includes a certain number of credits. Once those credits are used, you must upgrade to a Paid version to continue using the service. Pricing and credit usage are described on our pricing page.

Hushly reserves the right to modify credit allocation, pricing, or upgrade requirements with reasonable notice.

7. Indemnification

You agree to indemnify, defend, and hold harmless Hushly and its affiliates, officers, directors, and employees from any claims, damages, or liabilities arising out of:

your misuse of PageSherpa,

violation of these Terms,

or your content or data inputs into the platform.

8. Limitation of Liability

To the fullest extent permitted by law, Hushly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill.

9. Disclaimer of Warranties

PageSherpa is provided “as is” and “as available” without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

10. Prohibited Uses

You agree not to use PageSherpa:

For any unlawful, harmful, or fraudulent purpose

To upload or distribute malware, spam, or infringing content

To reverse-engineer, hack, or interfere with the platform

To violate any third-party rights or applicable law

11. Intellectual Property Rights

Hushly owns all rights, title, and interest in and to the PageSherpa platform, including all intellectual property rights therein. You may not use Hushly branding, code, or materials except as expressly permitted in writing.

12. Information We Collect

All information we collect through PageSherpa is subject to our Privacy Policy. By using the platform and opting in — or not opting out — of the posted authorizations, you consent to all actions taken by us with respect to your information, in accordance with the Privacy Policy.

13. Termination

You may stop using PageSherpa at any time. Hushly reserves the right to suspend or terminate access for violation of these Terms or misuse of the service.

14. Governing Law

These Terms are governed by the laws of the State of California. All disputes must be resolved in the courts located in Santa Clara County, CA.

15. Your Comments and Concerns
